Ticketplus Reports Third Quarter 2026 Results with Quarterly Revenue Up 90.3% and Initiates Full-Year 2026 Outlook

Ticketplus Ltd. (“Ticketplus” or the “Company”) (NYSE American: TP), a technology infrastructure company powering live entertainment across Latin America, today announced its financial results for the third quarter ended September 30, 2026, during which the Company completed its initial public offering. Net profit for the third quarter was $1.6 million, or $0.14 per share. Results for the third quarter include a one-time, non-cash share-based payment expense of $1.2 million for ordinary shares issued for services upon the completion of the initial public offering. Excluding this expense and the other offering-related items described under “Use of Non-IFRS Financial Information” below, adjusted net profit for the third quarter was $2.8 million, or $0.24 per share.

“The third quarter was a milestone for Ticketplus: we became a public company on NYSE American and delivered the strongest quarter in our history,” said Chien-Fu Chen, CEO of Ticketplus. “Revenue growth accelerated to 90.3%, and in the first nine months of the year we processed 1.7 times the platform sales of all of 2025. We built Ticketplus as the technology infrastructure for live entertainment in Latin America, and each partner chooses the services it needs, from our technology alone to full operations. Autoentrada, a white-label partner since 2019 and now our full operation in Argentina, shows how our two models work together.”

“We are growing profitably,” said Joaquín Jadue, CFO of Ticketplus. “In the first nine months, our revenue and net profit already surpassed those of all of 2025, and our Adjusted EBITDA margin reached 42.6% in the third quarter. We ended September with more cash than bank debt while continuing to invest in our platform ahead of growth. For the full year 2026, we expect revenue to grow by at least 73% and GMV to grow more than 130%.”

Third Quarter 2026 Financial Highlights

  • Revenue increased 90.3% year-over-year to a record $14.4 million, compared to $7.5 million in the third quarter of 2025, accelerating from growth of 80.8% in the second quarter of 2026

  • Gross profit increased 116.1% year-over-year to a record $7.0 million, and gross profit margin expanded 590 basis points to 49.0%, up from 43.1% in the third quarter of 2025

  • Net profit of $1.6 million, or $0.14 per share, more than seven times the third quarter of 2025 ($0.2 million, or $0.02 per share), after the one-time, non-cash share-based payment expense of $1.2 million described above

  • Adjusted net profit was $2.8 million, or $0.24 per share

  • Adjusted EBITDA increased 108.2% year-over-year to a record $6.1 million, with an Adjusted EBITDA margin of 42.6%, compared to 39.0% in the third quarter of 2025

  • Gross profit increased 114.6% year-over-year to $18.3 million, and gross profit margin expanded 870 basis points to 49.0%, from 40.3% for the nine months ended September 30, 2025

  • Net profit increased 208.3% year-over-year to $5.7 million, or $0.54 per share, compared to $1.9 million, or $0.18 per share, for the nine months ended September 30, 2025, already exceeding full-year 2025 net profit of $2.2 million

  • Shareholders’ equity of $26.2 million as of September 30, 2026, compared to $5.6 million as of December 31, 2025

2026 Outlook

For the full year 2026, Ticketplus expects:

  • Revenue of $51 million to $53 million, an increase of 73% to 80% over 2025

  • Total Platform Sales (GMV) of $625 million to $650 million, an increase of more than 130% over 2025

  • Events processed of 80,000 to 85,000, compared to more than 39,800 in 2025

  • At least 12 active markets as of December 31, 2026

This outlook reflects organic growth and signed transactions only and assumes exchange rates as of October 26, 2026, which are less favorable than the average rates in the third quarter of 2026. GMV is expected to continue to grow faster than revenue, reflecting the growth of the white-label SaaS model, in which partners run their own operations on Ticketplus technology. The outlook is a forward-looking statement and is subject to the risks and uncertainties described under “Forward-Looking Statements” below.

Operating Metrics

Ticketplus measures its progress with three operating metrics: Total Platform Sales (GMV), events processed and active markets.

  • More than 62,400 events were processed on the Ticketplus platform during the nine months ended September 30, 2026, surpassing the more than 39,800 events processed in all of 2025

  • Ticketplus was active in 11 markets as of September 30, 2026: Argentina, Chile, Colombia, Costa Rica, Dominican Republic, Ecuador, Mexico, Paraguay, Peru, the United States and Uruguay. An active market is defined as one in which the Ticketplus platform is live, with local payment methods enabled, at least one contracted client or partner and ticket sales during the period.

  • GMV processed for white-label partners on the Ticketplus platform increased 218.0% year-over-year during the nine months ended September 30, 2026, representing 57.7% of total GMV, up from 42.0% for the nine months ended September 30, 2025

Both business models grew strongly during the nine months ended September 30, 2026: revenue from the full operation model increased 66.4% and revenue from the white-label SaaS model increased 230.5%, while revenue as a percentage of GMV remained broadly stable within each model.

Total Platform Sales (GMV) is an operating metric that represents the total value of all sales processed through the Company’s platform, including tickets and other products and services, before any deductions for fees, refunds, or commissions, and regardless of revenue recognition treatment. This definition is consistent with the basis on which amounts were previously reported. GMV is derived directly from the transactional system of the Company’s technology platform. GMV grew faster than revenue, reflecting the higher mix of software-based deployments.

Business Highlights

  • On August 10, 2026, Ticketplus closed its initial public offering on NYSE American; the offering, together with the partial exercise of the underwriters’ over-allotment option, generated aggregate net proceeds of approximately $15.5 million, after deducting underwriting discounts and commissions, the non-accountable expense allowance and the underwriters’ expenses

  • On September 18, 2026, Ticketplus acquired Autoentrada S.A., an Argentine ticketing company based in Córdoba that has operated on the Ticketplus platform under the white-label model since 2019; the acquisition, the Company’s first as a public company, converts that relationship into full operations in Argentina and shows how the Company’s two models work together

  • On September 30, 2026, Ticketplus announced the engagement of Fernando Massú Taré, former Chief Executive Officer of CorpBanca, as Lead Strategic Advisor, LATAM Regional Strategy and Governance

As a foreign private issuer, Ticketplus is not required to report quarterly financial results; however, the Company currently intends to report its results on a quarterly basis. The Company’s unaudited interim consolidated financial statements for the quarter ended September 30, 2026, prepared in accordance with IFRS as issued by the International Accounting Standards Board, together with management’s discussion of financial results, are being furnished to the U.S. Securities and Exchange Commission on a Form 6-K, available at www.sec.gov.

Forward-Looking Statements

This press release contains certain forward-looking statements that are based upon current expectations and involve certain risks and uncertainties within the meaning of U.S. federal securities laws. Such forward-looking statements relate to future events or our future performance, including our financial performance and projections, our full-year 2026 outlook, revenue and earnings growth, and business prospects and opportunities. You can identify forward-looking statements by those that are not historical facts and by the use of words such as “should,” “may,” “intends,” “anticipates,” “believes,” “estimates,” “projects,” “forecasts,” “expects,” “plans,” and “proposes.” These forward-looking statements are not guarantees of future performance and are subject to risks, uncertainties, and other factors, some of which are beyond the Company’s control and difficult to predict and could cause actual results to differ materially from those expressed or forecasted in the forward-looking statements. Factors that could cause actual results to differ from the Company’s full-year 2026 outlook include, among others, changes in foreign currency exchange rates, macroeconomic, inflationary and currency conditions in Latin America, including hyperinflation in Argentina, the integration of Autoentrada, the timing, number and size of live events, the timing of the launch of new markets, and the volume processed by the Company’s white-label partners. You are urged to carefully review and consider any cautionary statements and other disclosures, including the statements made in the risk factors section of the Company’s reports and other documents that we file with the SEC. The Company does not undertake any duty to update any forward-looking statements except as may be required by law.

Use of Non-IFRS Financial Information

In addition to disclosing financial results calculated in accordance with International Financial Reporting Standards (“IFRS”) as issued by the International Accounting Standards Board, this press release contains non-IFRS financial measures, which Ticketplus believes provide useful supplemental information regarding the operating and financial performance of its business. This press release includes EBITDA, EBITDA margin, Adjusted EBITDA, Adjusted EBITDA margin, adjusted net profit and adjusted basic and diluted earnings per share. The Company defines EBITDA as earnings before financial costs (net of financial income), income tax expense and depreciation and amortization, and EBITDA margin as EBITDA as a percentage of revenue from ordinary activities. The Company defines Adjusted EBITDA as EBITDA excluding (i) the share-based payment expense for the ordinary shares issued for services upon the completion of the initial public offering, (ii) costs related to the initial public offering that were recognized in profit or loss, and (iii) for the three months ended September 30, 2026, the credit from the reclassification to equity of offering costs that had been recognized in profit or loss in the six months ended June 30, 2026, and Adjusted EBITDA margin as Adjusted EBITDA as a percentage of revenue from ordinary activities. The Company defines adjusted net profit as results from continuing operations excluding the same items excluded from Adjusted EBITDA, net of their income tax effect, and adjusted basic and diluted earnings per share as adjusted net profit divided by the weighted average number of ordinary shares outstanding. The share-based payment expense and the offering costs in items (i) and (ii) were recognized by Ticketplus Ltd., a Cayman Islands company, and have no income tax effect; the income tax effect of item (iii) was calculated at the 27% statutory corporate income tax rate applicable to the subsidiary that recognized the credit. Adjusted EBITDA, adjusted net profit and adjusted earnings per share do not exclude share-based payment expense for restricted share units or the ongoing costs of operating as a public company.

Management believes the non-IFRS financial measures provided assist investors in understanding and assessing Ticketplus’s operating performance by providing additional information regarding the Company’s results from period to period. These non-IFRS financial measures are not required by, or presented in accordance with, IFRS, should not be considered an alternative to results from continuing operations or any other performance measure derived in accordance with IFRS, or as an alternative to cash flows from operating activities or a measure of the Company’s liquidity or profitability, and may not be comparable to similarly titled measures used by other companies. Furthermore, these non-IFRS financial measures have certain limitations in that they do not include the impact of certain expenses that are reflected in the Company’s consolidated financial statements that are necessary to run its business. Ticketplus compensates for these limitations by providing a reconciliation of these non-IFRS financial measures to the related IFRS financial measures, as shown in the tables below.
